Partner Program Terms

These Partner Program Terms ("Partner Terms") govern the Floynk partner program ("Program") operated by DigitX B.V., a company registered in the Netherlands (Chamber of Commerce 82240264, Jonkerbosplein 52, 6534 AB Nijmegen), trading under the brand name Floynk ("we", "us", "our"). They apply to you as a partner ("you"). The Program runs on our partner portal at partners.floynk.com. Customers who sign up through your link use Floynk under our Terms and Conditions.

1. Joining the Program

1.1 Application

• You apply through the application form on partners.floynk.com. By applying, you accept these Partner Terms
• We review every application by hand and decide whether to approve it. We may refuse an application without giving a reason
• Joining is free. There is no minimum number of referrals and no fixed term

1.2 Eligibility

• You must be at least 18 years old
• If you apply on behalf of a company, you must be authorized to bind it
• The information in your application and in the partner portal must be accurate and kept up to date

2. Referrals

• After approval you get a personal link in the partner portal
• A visitor counts as your referral when they arrive through your link and create a Floynk account within 60 days. If they click another partner's link after yours, the last click counts
• Only new customers count: a business that already had a Floynk account is not a referral
• Your own account, your own company and businesses you control are not referrals
• Our tracking decides which partner a customer belongs to. A visitor who blocks cookies or switches device may not be recorded. If you think a referral was missed, contact us and we will look into it, but we are not obliged to add it

3. Commission

3.1 What you earn

• You earn a commission on every payment a referred customer makes to us during the first 12 months after their first payment. Payments after those 12 months earn no commission. On a yearly plan, that is the first yearly payment
• The commission is a percentage of what the customer actually paid, excluding VAT. Discounts and credits lower the amount it is calculated on

3.2 Rate

• The first ten partners we approve earn 30%. Partners approved after them earn 20%
• Your rate is shown in the partner portal once you are approved, and stays the same for as long as you are a partner, unless it changes under section 10

3.3 Holding period and refunds

• A commission is pending for 30 days after the payment it was earned on. After that it is approved and can be paid out
• If a customer gets a refund or reverses a payment, the commission on that payment is reduced or cancelled. If it was already paid out, we deduct it from your next payouts
• We may hold or cancel commissions on referrals that we reasonably suspect are fraudulent or in breach of these Partner Terms

4. Payouts

4.1 How and when we pay

• We pay approved commissions once a month by bank transfer, in euros, to the account in your partner portal
• We pay when your approved balance is at least €50. A lower balance carries over to the next month
• You need to fill in your payout details in the partner portal: the account holder, the IBAN, and for a business the company name, address, VAT number and Chamber of Commerce number. We are not responsible for a payment that fails because these details are wrong; we pay it once you have corrected them

4.2 Businesses: self-billing

• For a business we issue a self-billing invoice in your name for every payout ("factuur uitgereikt door afnemer"). By joining as a business you agree to self-billing, and you do not send your own invoice for the same commissions
• If you are registered for VAT in the Netherlands, we add 21% VAT, which you declare. For businesses outside the Netherlands, VAT is reverse charged
• Check every invoice when you receive it, and tell us within 14 days if something is wrong

4.3 Individuals

• An individual gets a payout statement for every payout
• The commission may be taxable income. You are responsible for declaring it

5. Partner benefits

• An approved partner gets a free Floynk account for as long as they are a partner, so you can see for yourself what you recommend. We decide which plan it includes
• A customer who signs up through your link gets our onboarding "We koppelen samen" for free: we connect their channels together with them
• We may change or end these benefits for the future. A benefit a customer already received stays theirs

6. How you may promote Floynk

6.1 Permitted

• Share your link on your website, in your newsletter, on social media, with your clients, and in groups and forums where links are allowed
• Use the banners, logos and texts from the partner portal, as they are or in your own words

6.2 Not permitted

You may not:

• Present yourself as Floynk, or suggest that you speak on our behalf
• Bid on the name "Floynk" or variations of it in search ads, such as Google Ads, or use it in domain names or account names
• Send unsolicited email or messages. Only email people who are your clients or members, or who signed up with you
• Promise discounts, prices or features that we do not offer, or make claims about Floynk that are not true
• Hide that you are paid: tell your audience that you receive a fee when someone becomes a customer through your link
• Use cookie stuffing, hidden frames, automated clicks or any other method that creates referrals without a real recommendation
• Promote Floynk on websites or channels with illegal, hateful or adult content

7. Our name and materials

• We give you a limited, non-exclusive, revocable right to use the Floynk name, logos and the materials from the partner portal, only to promote Floynk under these Partner Terms
• Do not change our logos or create your own versions of them
• When your partnership ends, this right ends too, and you remove our materials where you reasonably can

8. Privacy

• In the partner portal you see limited information about your referrals. Use it only for the Program
• We process your personal data as described in our Privacy Policy
• If you collect personal data from your audience yourself, you are responsible for doing so lawfully

9. Independent parties

• You take part in the Program as an independent party. These Partner Terms do not create an employment relationship, a partnership or an agency
• You pay your own costs of promoting Floynk

10. Changes to the Program

• We may change the Program, these Partner Terms and the commission rates
• We tell you by email at least 30 days before a change that lowers what you earn takes effect
• A change never lowers the commission on customers you referred before it takes effect: they earn under the terms that applied when they signed up, for the rest of their 12 months

11. Ending the partnership

• You can stop at any time by emailing us
• We can end your partnership at any time with 30 days' notice, or immediately if you breach these Partner Terms
• If we end your partnership without a breach, or end the Program, customers you referred keep earning you commission for the rest of their 12 months, and we pay it as described in section 4
• If you stop, or we end your partnership because of a breach, you earn no new commission after the end date. Approved commissions from before the end date are paid as described in section 4, except commissions that we cancel because of the breach

12. Liability

• We are not liable for referrals that are not recorded because of technical problems, blocked cookies or downtime, or for indirect damage or lost profit
• Our total liability under these Partner Terms is limited to the commissions paid or payable to you in the 12 months before the event that caused the claim
• You are liable for how you promote Floynk, and you indemnify us against claims that arise from a breach of these Partner Terms

13. Dispute Resolution

13.1 Governing Law

These Partner Terms are governed by Dutch law.

13.2 Jurisdiction

Disputes will be resolved in the courts of Amsterdam, Netherlands.
